KEY PRINCIPLES
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OR REQUESTING THE SERVICE MADE AVAILABLE TO YOU VIA WEBSITE AS THEY INCLUDE IMPORTANT INFORMATION ABOUT THE SERVICES YOUR RIGHT AND OTHER IMPORTANT IMFORMATIONS
- These terms apply to Sykes Partners limited in United Kingdom.
- The website/email/phone services enable you to request services from Sykes Partners limited.
- You are contracting directly with Sykes Partners for the provision of chauffeuring services.
- These terms cover your use of Sykes Partners Chauffeuring services.
- In order to provide Chauffeuring Services, Sykes Partners accepts bookings as a private hire vehicle operator (under the relevant private hire vehicle operating license).
- All Drivers are licensed and certified in accordance with all applicable (local) laws and regulations and also drive vehicles licensed and certified in accordance with all applicable (local) laws and regulations.
- Purpose of private hire legislation and regulation in UK.

If we have to contact you, we will do so by phone call, text message or email, using the details you provided to us when booking.
Sykes Partners is free to decide to accept or reject a request. Acceptance is communicated to you through email, text or phone call.
Sykes Partners collects uses and discloses information from or about you.
BOOKING PASSENGER TRANSPORT
SERVICES
Users may request Passenger Transport Services by submitting a Passenger Transport Booking Request via Email or phone.
In order to create a personal account, User shares his/her first name, last name, email address, telephone number and credit card data. User guarantees that all data provided are true, correct and up to date. It is not possible to link a credit card to a personal account which is not registered in User’s name.
In order to create a corporate account, User shares his/her first name, last name, email address, telephone number, company name, company registered number, and company registered address and credit card data. User guarantees that all data provided are true, correct and up to date. It is not possible to link a credit card to a corporate account which is not registered in User’s name.
Sykes Partners may suspend or terminate personal or business accounts at any time for any reason including without limitation if Sykes Partners has reasons to believe that the account is created with false data or otherwise used for fraudulent purposes.
By submitting a Booking Request, User is offering to purchase Passenger Transport Services subject to these Terms. A contract between the User and Sykes Partners for the purchase of Passenger Transport Services only be made when Private Hire Operator (Sykes Partners) accepts a Booking request. A Booking shall only deemed to be accepted by us when we issue written confirmation of the booking via email or text, at which point and on which date and time a contract for the of those services to which the Booking relates shall come into existence. The passenger in each case deemed to have accepted the Terms when making use of the passenger services. Each booking constitutes a contract between Sykes Partners, the passenger and you (if the person making the booking is different from the passenger).There is no obligation on us to accept a Booking and it may be declined for any reason.
Sykes Partners is legally responsible for accepting, performing the Booking and Transport Service. We are responsible for providing you with customer service assistance and will at all time act as the point of contact for you for customer service questions.
On all occasion only Sykes Partners (license Operator) can cancel a booking, which will be then communicated to you via email/text/call.
To the maximum extent permitted by law, we remain responsibly solely for our obligations to you. The liability in relation to the transportation services belongs on to Sykes Partners.
Sykes partners will contact you via email or text, before start of the journey, to confirm the Vehicle license plate number, the driver’s contact details, the driver’s license number, the driver’s private hire vehicle license number and where a passenger can receives it, a photo of the driver.
A booking may be for an as Directed Booking, or may be advance Pre Booked. The chargers will be quoted via email/phone at the time of the booking request. A Booking constitutes an offer of purchase.
The services provided by Sykes partners include:
The acceptance of Booking Requests and allocating of each accepted Booking Request.
Provision of the booking confirmation to a User before their journey start.
Keeping a record of each accepted Booking Request and remote monitoring of the performance of the Passenger Transport Services.
Receipt of and dealing with feedback, questions and complaints relating to the Driver Services, as well managing any lost property queries relating to the Driver Services.
Charges and Payments
If you make a booking request, you agree to pay the relevant charges as described in our website and will be responsible for any charges.
We will provide an estimate of the charges for the service. Please be aware that the final amount charged to you may be different from the estimate.
You may be charged supplementary charges and costs, for your use or misuse of Sykes Partners provided services (such as repair or cleaning fee).
In some cases, if the chauffeuring services cannot be performed due to your action or inaction, all charges may apply.
Payment must be made once the booking has been accepted by Sykes Partners. All payments must be made before start of journey via secure payment link send to you via email/text.
Unless otherwise agreed, all charges are due 12 hours prior to start of service and payment will be facilitated by Sykes Partners payment link send by email or message.
Charges are inclusive of applicable taxes including VAT unless specifically stated otherwise.
Cancellation
You may cancel your booking free of charge 12 hours prior to start of journey. 100% cancelation fee may be charged after 12 hours. You can notify us by phone or email.
If you fail to present yourself you will be charge the full fare.
Airport / Sea Port 1 hours free waiting, if you fail to contact us after 1 hour the ride will be automatically cancelled and charged at full rate.
Venue pickup 15 minutes free waiting. Failure to contact us after 15 minutes will result in cancelation and charged at full rate.
TERMS SPECIFIC
Sykes Partners shall carry out Passenger Services in accordance with the instructions set out in the Booking Request. It is the sole responsibility of the User to ensure that all information relevant to the request is provided at the time of submitting the Booking Request. In particular, the User must provide all relevant information in relation to service.
If the Driver does not arrive to the Pick-Up Location, within 10 minutes of the Booking Time, User may cancel the Booking Request without liability.
Our liability insurance covers you in the event of an incident while on the journey. We will not be liable for delay caused due to unforeseen circumstances.
Airport Bookings
When making an Airport Booking you must provide the flight number. We use it to track your arrival time to calculate Airport inclusive waiting time and additional waiting time.
Availability of User and/or Recipient
The User and the Recipient must be available to receive calls at the phone number submitted through the Booking Confirmation from the moment receiving the booking confirmation. If the Recipient is any person other than the User, the User confirms that the User has obtained the consent of the Recipient to provide a contact telephone number(s) and/or other contact details in the Booking Request and for the Driver to contact the Recipient in connection with the performance of the Services.
Consumer Rights
Consumers have legal rights in relation to services that are not performed with reasonable care and skill. Advice about the legal rights of consumers is available from the Citizens' Advice Bureau (www.citizensadvice.org.uk) or Trading Standards (www.gov.uk/find-local-trading-standards-office). Nothing in these Terms in any way affects the legal rights of consumers.
Complaints
If the User has any complaints regarding the Service, the User is encouraged to inform Sykes partners thereof through the Email or Phone as soon as possible, but no later than within 24 hours. Sykes Partners may request a photographs or other evidence or explanation of the circumstances related to the
APPLICABLE FEES
Transport fees — Sykes Partners, shall be entitled to charge User the agreed transport fees for the provision of Driver Services calculated in accordance with its set rate for the Driver Services (“Transport Charges").
Disbursements & Transaction Fees — Where the Driver incurs additional charges to provide the Services (“Disbursements”), Driver shall be entitled to recover those Disbursement from the User by emailing Sykes Partner an appropriate evidence of the Disbursement. On receipt of such evidence Sykes Partners, shall be entitled to recharge the User.
Cancellation Fees — In the case where User cancels a Booking Request after 12 hours, or the Driver cancels a Booking Request due to:
The Passenger not being at the agreed Pick-Up Location at the Pick-Up Time.
User being in breach of these Terms, Sykes Partners will charge the User a cancellation fee including waiting time, which fee will at least amount the minimum fare (“Cancellation Fees”). Where Sykes partners cancels a Booking Request as a result of the User’s breach of these Terms or pursuant to its rights, the right to charge Cancellation Fees shall be in addition to its right to recover any Disbursements incurred and any applicable Transaction Fees (as well as or other costs or losses incurred as a result of the User’s breach of these Terms).
PAYMENT
Payment Using Personal Account
Credit/ Debit card payments — Passenger Transport Services booked via the website can only paid by credit card/ Debit card. Before start of ride the set rate shall be charged as agreed.
Timing — Transport Charges, Disbursements, Transaction Fees and Cancelation Fees shall be charged automatically by Sykes Partners, once Driver has confirmed that Services have been completed and/or Services have been cancelled using the credit card linked to the personal account.
Preauthorization — Sykes Partners will pre-authorize User’s credit card to ensure that there are enough funds to pay for the booked ride.
Payment Using Corporate Account
Monthly payment — Users of a corporate account can elect to pay monthly.Sykes Partners will provide a detailed invoice on the first date of each month setting out all Transport Charges, Disbursements, Transaction Fees and Cancellation Fees incurred under that corporate account in the preceding month.
The User shall pay each invoice to Sykes Partners within 30 days of the date of the invoice unless otherwise agreed in writing with Sykes Partners.
Sykes Partners reserves the right to immediately suspend User's access to the corporate account and its features in the event of any overdue payment.
If for any reason any payment is not made when due, Sykes Partners reserves the right to be paid on an indemnity basis any costs Sykes Partners incurs in recovering any money due under any and all unpaid invoices (and the costs of recovering such costs) including Sykes Partners administrative costs and any associated costs incurred with lawyers or debt collection agencies. Sykes Partners administrative costs may include the cost of employing the staff concerned and the overheads attributable to them for the time spent.
Refunds
If Sykes Partners will not be able to provide or perform the service, we will refund the full amount charged.

DISPUTE RESOLUTION

Term and Conditions Driver
APPLICABILITY AND ACCEPTANCE
These Terms and Conditions (hereinafter: “These Terms”) constitute the full agreement between the Partner (also referred to as “you”) and Sykes Partners in relation to the Partner offering Passenger Transport Services.
DEFINITIONS
“Sykes Partners” means Sykes Partners Limited, a UK private limited company with company number 10655464. The company’s registered office is at 16, Kings Avenue Romford United Kingdom RM6 6BB.
“Partner” (or “you”) means a natural person or legal entity who / which has been approved by Sykes Partner Limited as a Partner and agreed These Terms.
“Client” means a natural or legal person who books the provision of Passenger Transport (whether for themselves or another person).
“Driver” means an individual (who may be the Partner himself/herself, if a natural person, or a third party engaged by the Partner) who possesses a valid Transport For London (TFL) Private Hire licence permitting him/her to provide Passenger Transport Services (and any relevant licences or regulatory clearances permitting) through Sykes Partners, and is able to receive bookings via email and text.
“Passenger” means a natural person being transported by a Driver because of a booking made by a Client via the Booking System..
“Passenger Transport Services” means the service of conveying a Passenger from a departure point to a destination point using the Vehicle.
“User” means private person or legal person (company) making the booking.
“The Vehicle” means the vehicle or vehicles with which the Passenger Transport Services are rendered by a Driver.
NATURE OF RELATIONSHIP / QUALITY STANDARDS / GUARANTEES
Sykes partners is not obliged to offer any work to Partner, and Partner is not obliged to accept any work which may be offered. Partner, or any Driver using the Partner account, may elect to refuse any passenger journey offered to them at their sole discretion.
Sykes Partners, procure planned pre booked journey in advance.
§ where a Driver has accepted a pre-booked journey, to ensure the delivery of The Vehicle to the pickup location at the time specified in the booking made via Booking System;
§ when providing Passenger Transport Services, to ensure Passenger’s safety throughout the entire journey, and to ensure that any Driver is licensed and certified for rendering Passenger Transport Services to Clients in accordance with all applicable (local) laws and regulations, including but not limited to possessing a valid TFL private hire license;
§ to ensure that the Vehicle is fully licensed and authorised to provide Passenger Transport Services, including but not limited to possessing a valid TfL private hire license;
§ that the Vehicle is licensed and certified in accordance with all applicable (local) (safety) laws and regulations;
§ to comply with all applicable (local) (safety) laws and regulations regarding Passenger Transport Services;
§ to have insured the Vehicle, the lives and health of Passengers transported when performing service as well as the carrier liability in accordance with all applicable (local) laws and regulations;
§ to be fully and exclusively liable for any direct, indirect, punitive, exemplary or consequential losses or damages of whatsoever kind arising out of the actions or inactions of (subcontractor) of Partner Driver;
§ to assist in handling and resolving client complaints promptly upon request Sykes Partners.
2. Partner must not, and must procure that any Driver performing the Passenger Transport Services must not, solicit any Client to provide transportation services directly to that Client in competition with Sykes Partners. Partner acknowledges that, without prejudice to any other remedies Sykes Partners may have, any breach of this clause may lead to the immediate termination of These Terms by Sykes Partners, and that Sykes Partners may report any Driver to TfL on suspicion of operating without or in breach of a PH operator license.
REGISTRATION
In order to register as a driver, Partner must provide the following information: bank details; VAT number (if applicable); legal name (corporate name if a legal entity, trading name if a sole trader) and company number. Partner must provide the following information: date of birth (required by TfL); PH license number (required by TfL); NI number (required by TfL and to demonstrate the right to work in the UK); UTR number (if applicable); PH license; driving license; any such other information as may be reasonably required by Sykes Partners.
3. Sykes Patners may suspend or annual accounts at any time, in particular, if:
§ Sykes partners has reasons to believe that the driver registered with false data or otherwise used for fraudulent purposes;
§ Partner fails to comply with These Terms or Sykes Partners has reason to believe that Partner has failed to comply with These Terms;
§ Sykes Partners has reason to believe that Partner has failed to ensure that the Passenger Transport Services are performed using the Vehicle, or by a Driver who is properly authorised, licensed and certified, has the right to work and a clean criminal records check;
§ Sykes Partners has reasons to believe that Partner has failed to meet the standards of service required by Sykes Partners.
PAYMENT
Sykes Partners will invoice Client and collect payment, and accordingly drivers are paid by Sykes partners and not directly by Client / Passenger. After completion of the ride the relevant fare shall be charge according from the clients preferred method of payment. Drivers are not entitled to receive any payment from Passengers (other than tips paid to Driver).
The agreed percentage of the fare that is withheld by Sykes Partners is the fee that Drivers pays to Sykes Partners by way of compensation for Sykes Partners intermediary services.
Cancellation fee – In the event of cancellation of Passenger Transport Services, Sykes Partners will charge the Client a cancellation fee, according. Sykes Partners will pay Partner an agreed percentage of the applicable cancellation fee within five days after the cancelled ride.
Right to withhold payments to Partner in case of (suspicion) of non-compliance or fraud – If Sykes Partners has a reason(s) to believe or suspect that Driver has materially failed to comply with its obligations under this Agreement or is involved in fraudulent activities, Sykes Partners is entitled to withhold payments to Driver pending completion of an investigation.
Tax obligations – Driver is fully and exclusively responsible for compliance with all applicable (local) tax laws and obligations in relation to the provision of Passenger Transport Services pursuant to These Terms. Partner will indemnify and keep Sykes Partners indemnified against any costs (including legal costs), claims, damages, penalties, liabilities, expenses, proceedings or interest Sykes Partners may suffer or incur as a result of Partner’s failure to comply with this obligation
DATA PROTECTION AND PRIVACY
Any personal data supplied to Sykes Partners, whether relating will be used in accordance with data protection act.

Sykes Partners agrees to take such steps as are necessary to comply, and to assist to comply, with all applicable obligations under data privacy legislation including but not limited to the General Data Protection Regulation, including ensuring that personal data of Clients and Passengers is only processed in a manner consistent with the legislation, is not used for any unauthorised or unlawful purpose, is stored safely and securely, and is not retained for any longer period than necessary to comply with legal obligations.
EQUIPMENT REQUIREMENTS
Driver is responsible for providing all necessary tools and equipment to perform the Passenger Transport Services, including in particular the Vehicle, fuel for the Vehicle. Driver is responsible for the servicing and maintenance of the Vehicle.

LIMITATION OF LIABILITY
Sykes Partners is in no event liable for any direct, indirect, punitive, exemplary or consequential losses or damages of whatsoever kind arising out of the actions or inactions of any Drivers, Clients or Passengers.
Neither is Sykes Partners in any event liable for
§ failure to meet any of Sykes partners obligations under These Terms where such failure is due to events beyond Sykes Partners control (for example a network failure);
§ any damage or alteration to any Driver’s equipment, including but not limited to computer equipment, handheld device or mobile telephones.
Nothing in These Terms shall exclude or limit any liability of Sykes Partners which cannot be excluded or limited under applicable law.
TERMINATION
This agreement may be terminated at any time immediately upon written notice by one party to the other.

These Terms shall be governed by and construed in accordance with English law. Each of the parties irrevocably submits for all purposes in connection with this Agreement to the exclusive jurisdiction of the English courts.
If any provision of These Terms shall be deemed unlawful, void or otherwise unenforceable, then such provision shall be deemed severable from These Terms and shall not affect the validity and enforceability of any remaining provisions.
Sykes Partners may change These Terms at any time by posting a revised version on its website.
